Jim Chiafullo

Jim is a trusted advisor who brings a “total client approach” to his practice. His firsthand experience working as an in-house counsel for large corporations gives him the practical knowledge necessary to handle any commercial transaction. Jim concentrates on the areas of finance, corporate securities, mergers and acquisitions, corporate governance, shareholder disputes, construction law, antitrust, securities, contract drafting and negotiation, commercial and real estate law, and franchise law.
He represents clients that cover a host of industries including banking, construction, real estate, health care, manufacturing, media, engineering, and franchising. His clients describe him as "creative and committed," and know they always have their best interest clearly in focus to find not only the legal solutions but the practical solutions.
The transactions he has handled during his career have been varied as the clients he has represented.
Jim's experience includes serving as counsel to a bank in structured financing transactions for the gaming industry and as counsel for the purchaser of a computer service company. In addition, he has been and continues to serve as general counsel for various companies, handling their mergers, and acquisitions, and dispositions and general corporate and securities counseling. He has also served in the roles of custodian and special master appointed by the court in matters involving disputes among stakeholders.
Jim is frequently asked to lecture and write articles for the Pennsylvania Bar Institute (PBI) in the areas of corporate, finance, and franchise law.
He is admitted to practice in the U.S. Court of Appeals for the Fifth Circuit and the U.S. District Court for the Southern District of Texas.
