Victoria Westerhaus has more than 30 years of experience handling corporate law matters, including securities law compliance and offerings, mergers and acquisitions, corporate governance, joint ventures and other business law matters. Her skills and experience make her uniquely qualified to provide efficient and effective legal guidance and results-oriented advice to clients of all sizes, including public and private companies and nonprofits. She has experience with companies in a variety of industry sectors, including technology, healthcare, clinical research, renewable energy and data centers. She has a deep background advising senior management, boards and committees on fiduciary duty issues, SEC reporting requirements, proxy statement and activist proxy matters, Section 16 securities ownership reports and insider trading matters. She also regularly represents investment advisers and broker-dealers on SEC and FINRA compliance matters. Ms. Westerhaus also represents companies in franchise matters, distribution and supply contracts, research and development agreements and consulting agreements. Ms. Westerhaus also serves as outside general counsel to several companies and has conducted numerous seminars and trainings on securities law and business law matters.
