About The Event
Over the last two years, the Securities and Exchange Commission has pursued an agenda that has resulted in high-profile rule-making and record-breaking enforcement.
The agenda has received significant attention from market participants, including boards, investors, and issuers. New rules have been adopted on the relationship between executive compensation and performance, claw backs of incentive-based compensation, insider trading, and enhanced disclosure requirements.
In a significant development the SEC adopted a final rule requiring the disclosure of material cybersecurity incidents and cybersecurity risk management, strategy, and governance by public companies, including foreign private issuers. Also in the pipeline are major new rules to be finalized for climate change disclosure. Further, the SEC’s Division of Enforcement has identified climate disclosure and “greenwashing” as a priority and focused attention with heavy fines for off-channel communications in the financial industry.
