NACD New Jersey Chapter Elects John DePinto and Glenn Votek to Board of Directors

July 12, 2023 – South River, New Jersey – The National Association of Corporate Directors (NACD) New Jersey Chapter, the advocate for the profession of directorship, today announced the election of John DePinto and Glenn Votek to the chapter’s board of directors.

“John and Glenn are tremendous additions to our board and bring diverse experience and skill sets, enabling NACD New Jersey to continue to bring top-tier programming and resources to our members,” said Trish Oelrich, chair of the board of NACD New Jersey. “Glenn’s impressive achievements while holding leadership positions at top financial services institutions and John’s experience in shareholder and investor advisory services position them both as champions of corporate governance excellence.”

John DePinto

John J. DePinto Jr. is a senior vice president at Alliance Advisors and has been working in the proxy solicitation and governance consulting industry since 2005. At Alliance Advisors, he has managed hundreds of successful campaigns dealing with major corporate issues such as M&A, proxy contests, shareholder activism and activist defense, executive compensation, capital structure changes, shareholder-sponsored proposals and bank conversions. DePinto’s clients range from mega-cap to micro- cap, including some of the most well-known public companies in the world.

DePinto serves on the NACD New Jersey Chapter board of directors and is also an active member of the Society for Corporate Governance, New Jersey Bankers Association and National Investor Relations Institute.

Glenn Votek

Glenn Votek is a seasoned executive experienced in leading sophisticated global financial services organizations through strategic transformations including public offerings, management buyouts, corporate restructurings and M&A. Votek served as the interim CEO and president of Annaly Capital, a $100 billion diversified financial organization, from 2019 until his retirement in 2020. Prior to his appointment, he served as Annaly’s CFO, where he formulated and guided the broad institutionalization of the firm, including implementing an enhanced risk governance framework and building out the operating platform with advanced and emerging technology.

Prior to joining Annaly Capital, Votek held several senior executive roles at CIT, including executive vice president and treasurer and president of the company’s consumer finance business. He played a

leadership role in CIT’s IPO in 2002 and in its later transformation to a bank holding company and successful creation of an online bank platform. Votek’s prior roles have also involved extensive M&A experiences, including the largest management buyout in financial services history where he was a member of and represented the management team during negotiations and execution. A series of related financings received Institutional Investor “Deal of the Year” accolades. Throughout his career, he has received numerous awards in recognition of his corporate finance and treasury management successes.

Votek serves on the board of directors of Annaly Capital Management, including the risk committee and the corporate responsibility committee, which oversees the firm’s environmental, social, and corporate governance initiatives. Votek is NACD Directorship Certified™, earned the NACD Cyber-Risk Oversight certificate from Carnegie Mellon and is certified in Climate Leadership through the Diligent Institute. With his appointment to the NACD New Jersey Board, Votek will also serve as a member of the audit committee. He holds a Master of Business Administration from the Rutgers Business School and serves on the Rutgers Business School Alumni Board for Learning Experiences, or ABLE. He previously served on the board of directors of CIT Bank as chair, the Hunterdon County YMCA as lead finance director and

member of the CEO search committee and the American Securitization Forum. He is a member of the Latino Corporate Directors Association.
