Tom Wilson

Director

Tom Wilson is a managing partner at DecisionPoint Advisors LLC, a boutique investment bank headquartered in Charlotte, North Carolina. Wilson is a seasoned business executive with over 35 years’ experience in the technology industry. His transaction experience includes buy-side and sell-side assignments within numerous technology sectors including software, analytics, managed services, and consulting. His strategic and general management skills include experience in developing and growing new businesses; managing international operations and finances; raising capital from angel, institutional, and debt sources; and negotiating the sale of companies to strategic buyers.

Since 2012, Wilson has served as a director of Jack Henry & Associates (Nasdaq: JKHY), an S&P 500 financial technology company providing technology solutions to the financial services industry, where he serves as chair of the audit committee and a member of the compensation committee. As a technology provider to the banking industry, the Jack Henry audit committee oversees regulation by the federal banking agencies (Office of the Comptroller of the Currency, Federal Deposit Insurance Corp., and the Federal Reserve) and the issuance of over 30 SOC reports. Since 2019, Wilson has served as a director of NN Inc. (Nasdaq: NNBR), a diversified industrial manufacturing company where he serves as chair of the audit committee and a member of the governance committee. As a public company director, Wilson has been involved in CEO transitions, independent auditor and compensation consultant selections, financial restatements, remediation of material weaknesses, restructuring of long-term incentive plans, cybersecurity oversight, development of board evaluation processes, issuance of sustainability reports, numerous acquisitions and divestitures, and interactions with activist investors.

Prior to joining DecisionPoint, he served as chair and CEO of NuTech Solutions, an innovative analytics software company that was acquired by Netezza (NYSE: NZ). At NuTech, Wilson was instrumental in refocusing the company, raising equity and debt financing, and leading the efforts to sell to a strategic buyer. Prior to joining NuTech, he served as the president of Osprey, a consulting and systems integration firm, which was acquired by NIIT (NSEI: NIITTECH). At Osprey, Wilson launched a new strategic division, assisted in raising a venture investment from Morgan Stanley Venture Partners, led the organization’s repositioning as a provider of packaged services offerings, and was instrumental in the sale of the business. Wilson joined Osprey after 14 years with IBM where he served in a variety of general management, sales, and marketing positions, including leading a $430 million solutions and services organization. Wilson was also an active participant in a structured angel investment group, Charlotte Angel Partners, which was created to evaluate, finance, and grow early-stage companies including AvidXchange, a start-up financial technology company valued over $1 billion.

He holds a bachelor of science in finance from Clemson University and a master of business administration from Duke University. He has served on the board and as chair of several community organizations including the US National Whitewater Center, NC Innovative Development for Economic Advancement (IDEA), UNC Charlotte College of Computing and Informatics, Junior Achievement, the Charlotte Ballet, F3 Nation, and the United Way. Wilson is a frequent speaker on business development and information technology issues and has presented to many industry conferences, civic groups, corporations, and organizations.
