Table Talk: Board Strategies for SEC Activism

NACD Carolinas Member Engagement: Table Talk is an opportunity for a small group of members to engage with their director peers to discuss a relevant topic over lunch. 

The SEC has advanced a number of new proposals and actions in a wide variety of arenas and with challengingly brief comment periods. The business world has responded in a new and robust fashion.

John Boyer will lead the discussion on the recently stated top priorities of the regulators, including conflicts of interest, disclosure statements and the proposed ESG disclosure rule. If time permits we may also address the following topics:

• The Boards role in assessing the compliance of third-party vendors. 
• Board preparation for Scope 3 disclosure.
• Information security and operational resilience.
