Lillian Borsa

For over three decades, Lillian M. Borsa, NACD.DCTM, CISA, CRISC, has served as a trusted assurance and consulting advisor to over 200 clients through a governance, risk, and technology lens. She has leveraged her extensive client-service experience in her current roles as a lead partner in PwC’s Governance Insights Center and partner affairs function where she serves corporate boards and provides oversight to firm-wide partner development, respectively.
As a partner in PwC’s Governance Insights Center, Lillian advises boards of directors and the C-suite by providing comprehensive, fit-for-purpose advice on governance issues. Specific focus areas include audit, risk, and nominating and governance committee engagement in addition to specialized topics including cyber, technology transformation, crisis management, and environmental, social, and governance (ESG) oversight. Additionally, Lillian advises management and board members on capability development in alignment with corporate strategy. Lillian has been the principal or contributing author to a number of governance thought-leadership pieces, namely focused on risk oversight. Further, she has been a frequent presenter and developer of director content, inclusive of PwC’s marquee Annual Corporate Directors Exchange for over 200 Fortune 1000 directors.
In her concurrent role as a partner in PwC’s partner affairs function, Lillian has demonstrated an unwavering commitment to professional development, including providing PwC partners with additional opportunities to augment their capabilities through robust governance training. Leveraging PwC’s existing strong brand in the marketplace, Lillian firmly believes these opportunities enable value creation for corporations in addition to credentialing partners for future board leadership opportunities. Lillian also assists the PwC US board on topical governance content matters based on her work in the Governance Insights Center.
Lillian is also co-leading a PwC engagement for the committee of sponsoring organization in collaboration with the National Association of Corporate Directors (NACD), to assist in the development of a US corporate governance framework. The framework is expected to be functional and relevant for US public companies to self-assess and enhance governance practices.
In 2023, Lillian had the privilege of being PwC’s US board nominating committee chair. In that capacity, she led the PwC election process for the 2023–2027 term. Lillian was nominated by her peers, ratified by the US board, and facilitated the process on behalf of over 4,000 partners-at-large.
Lillian has a long record for actions that have guided clients in supporting value protection and creation in the governance ecosystem. Specific examples include as partner in the governance, risk, and technology practice, advising clients on governance process optimization and technology implementation including more effective reporting. Additionally, in 2012, Lillian led the early development of PwC’s ESG practice for the New York region. Lillian was responsible for methodology and talent development, and led a number of first-time engagements focused on governance and risk management.
Lillian has a Bachelor of Science degree from New York University’s Stern School of Business. She has completed board training at the NACD, the Society of Corporate Governance, Harvard’s Women and the Board, and the Executive Women’s Forum BoardSuited program. Additionally, Lillian completed a strategy and business program at INSEAD in Fontainebleau, France, and The Prince of Wales’s Business & Sustainability Programme for sustainability leadership at the University of Cambridge.
Lillian completed the AccelerateTM program and proudly became NACD Directorship Certified® soon after the program commenced, demonstrating her commitment to continuous governance education. Lillian is also part of the NACD Risk Advisory Council. She is also a certified information systems auditor and certified in risk and information systems and control. She is a member of NACD, the Private Director’s Association, the Society for Corporate Governance, the Institute for Internal Auditors, the Information Systems Audit and Control Association, and Disaster Recovery Institute International.
